Terms and Conditions of Podex Visa Card Gold,

issued by BRE Bank SA

and distributred by Podex L.L.C

as an electronic money instrument

 

I. Introductory provisions and definitions

 

§ 1

These Terms and Conditions for Foreign Currency Prepaid Bearer Podex Visa Card Gold, issued by BRE Bank SA as an electronic money instrument (“Terms and Conditions”) shall regulate the rules for issuance and use of the Podex Visa Card Gold set forth in these Terms and Conditions, as well as the rules for settlement of Transactions concluded with the Podex Visa Card Gold.

§ 2

As used in these Terms and Conditions, the following terms and abbreviations shall mean:

1/ 24-hour Service Centre – a call centre providing services to Cardholders, including, in particular, the filing of complaints, Freezing of the Podex Visa Card Gold, checking the current Available Funds Balance and checking the history of the recent Transactions made with the Podex Visa Card Gold. The centre’s telephone number is provided on the back of the Podex Visa Card Gold, in the CardMailer and at the website of the BRE Bank Group. 2/  Merchant – an entrepreneur who accepts payment for the offered goods or services in non-cash form, with the use of the Podex Visa Card Gold,

3/  Authorisation  – the Cardholder’s consent to a Transaction, expressed as set out in these Terms and Conditions,

4/  Bank – BRE Bank SA, issuer of the Podex Visa Card Gold,

5/  ATM – a device enabling the Cardholder to withdraw cash using the Podex Visa Card Gold, thus withdrawing electronic money from the Podex Visa Card Gold, or to perform other Transactions,

6/  Podex Visa Card Gold Block – temporary blockade imposed by the Bank to prevent the making of Transactions, leading to the blockade of the Available Funds Balance on the Podex Visa Card Gold,

7/  CardMailer – a letter to which the Podex Visa Card Gold is attached at the time of its issue by the Bank,

8/  Business Day – a day other than a Saturday or a public holiday, on which the Bank is open for business,

9/  Internet Cards Service – an Internet service maintained at the Bank’s website (www.brebank.pl/prepaid) which enables the checking of Available Funds Balance and the history of Transactions made by the Cardholder,

10/ Podex Visa Podex Visa Card Gold Gold – the bearer card, issued as an electronic money instrument, with the possibility of Podex Visa Podex Visa Card Gold Gold Top-Up,

11/ code / CVV2 code – a three-digit code of the payment organisation placed on the back of the card that is used to authenticate the Podex Visa Card Gold when making Internet, telephone and mail transactions,

12/ Authentication Code – a secret, 6-digit code defined by the Cardholder during Podex Visa Card Gold Registration. The Authentication Code should use, as a minimum, two different digits.

13/ PIN – a confidential identification number provided to the Cardholder with the Podex Visa Card Gold, which together with data recorded on the Podex Visa Card Gold is used for electronic identification of the Cardholder, 14/ Transaction Limits – amount or quantity limits set for the individual Transaction types, up to which the Bank authorises the Transactions,

15/ Payment Organisation – the Visa Europe organisation of financial institutions, within which the Bank, on the basis of license held, issues the Cards.

16/ Bank Outlet – corporate branch, corporate office or other outlet of the Bank, 17/ Website of BRE Bank Group – www.brebank.pl,

18/ Cardholder – each time the bearer of the Podex Visa Card Gold, who acquired the Podex Visa Card Gold and the CardMailer in a manner permitted under these Terms and Conditions and the generally applicable laws and regulations, thus becoming a party to the Agreement,

19/ Returns Account  – a bank account maintained by a bank operating within the Republic of Poland, defined by the Cardholder during the Registration process, to which the funds stored on the Podex Visa Card Gold shall be returned upon the submission of the demand for Buy-Out of Electronic Money,

20/ Podex Visa Card Gold Account – an account maintained in the Podex Visa Card Gold Account Currency, whose number is printed on the CardMailer and on the back of the Podex Visa Card Gold, enabling the Podex Visa Card Gold Top-Up,

21/ Podex Visa Card Gold Registration – submitting to the Bank the Cardholder's data and the number of Account for refunds via the Internet Cards Service,

22/ Available Funds Balance – the amount of funds stored in the Podex Visa Card Gold Account, up to which Transactions can be made,

23/ POS Terminal  – an electronic payment terminal that enables the Cardholder to make Transactions, including a POS Terminal equipped with a contactless reader, enabling contactless transactions by placing the Podex Visa Card Gold in close proximity of the reader,

24/ Transaction – a payment made with the Podex Visa Card Gold or cash withdrawal with the use of the Podex Visa Card Gold, especially from an ATM,

25/ Partial Transaction – payment made with the Podex Visa Card Gold up to the amount of the Available Funds Balance (where the Transaction amount is higher than the Available Funds Balance on the Podex Visa Card Gold) and allowing the payment of the remaining Transaction amount in another manner, including with another payment instrument or with cash,

26/ Contactless Transaction  – a non-cash transaction made via a POS Terminal enabling payments by placing the card in the close proximity of the contactless reader,

27/ Remote transaction – a non-cash payment Transaction made without the physical presentation of the Podex Visa Card Gold (over the phone, via the Internet, via mail or by fax),

28/ Agreement – the agreement on the electronic money instrument, concluded at the time of the first Podex Visa Card Gold Top-Up and in force up to the expiry date of the Podex Visa Card Gold. The Agreement’s validity period may not be extended. The Agreement is concluded in Polish and throughout its duration its parties communicate in the Polish language,

29/ Podex Visa Card Gold  Account  Currency  –  the  currency printed  on  the  CardMailer,  in  which  the  Podex Visa Card Gold  Account  is maintained and the Available Funds Balance is stored. The Bank issues the Cards in the following currencies: EUR, USD, GBP.

30/ Podex Visa Card Gold’s Settlement Currency – a currency that is used by the Payment Organisation to settle Transactions made with the Cards, in that case the Podex Visa Card Gold Account Currency,

31/ Buy-Out of Electronic Money – a demand submitted by the Cardholder, which results in the refund of funds kept in the Podex Visa Card Gold Account, under rules set forth in these Terms and Conditions, 32/ Podex Visa Card Gold Top-Up – increasing the Available Funds Balance by transferring funds into the Podex Visa Card Gold Account,

33/ Podex Visa Card Gold Freeze – a situation where the Podex Visa Card Gold is permanently blocked in the Bank’s system and with the Payment Organisation, made at the request of the Cardholder or under the Bank’s decision.

 

II. General provisions

 

§ 3

The Podex Visa Card Gold is issued by the Bank. It is an instrument enabling electronic storage of funds, for the purpose of performing Transactions. The distributor of the Podex Visa Card Gold is Podex L.L.C.

§ 4

The Bank delivers to the Cardholder the Podex Visa Card Gold together with:

1/   the PIN code,

2/   the Podex Visa Card Gold Account number,

3/   the CardMailer together with the Terms and Conditions.

§ 5

1. The PIN code is sent to the Cardholder in a safe envelope according to confidentiality requirements, that is, in a manner making it impossible for third parties to learn the PIN code.

2. The PIN code may not be revealed or provided to any unauthorised person.

§ 6

1.The Podex Visa Card Gold is activated by the Cardholder in the manner specified in the CardMailer. The Podex Visa Card Gold is activated by:

1/  an instruction submitted to the Bank under a separate agreement, or

2/  Podex Visa Card Gold Top-Up.

2.The Podex Visa Card Gold is valid until the end of its validity period printed on its back. Upon the lapse of that period, Transactions and Top-Ups are not possible.

§ 7

1.The  Cardholder  should  register  the  Podex Visa Card Gold  in  the  Internet  Cards  Service.  The  Podex Visa Card Gold  Registration  is performed on the basis of information printed on the Podex Visa Card Gold and the CardMailer.

2.During  the  Podex Visa Card Gold  Registration  process,  the  Cardholder  defines  the  Authentication  Code,  which  is required specifically for:

1/   logging into the Podex Visa Card Gold Internet Service,

2/   amending the data provided to the Bank during the Podex Visa Card Gold Registration process,

3/   supplementing the data provided to the Bank during the Podex Visa Card Gold Registration process.

3. The Authentication Code, both during the time of its original definition and any later change, should be written down by the Cardholder on the CardMailer and should be stored in a manner preventing third parties from learning it.

4. Modification of data provided during the Registration process is possible upon logging into the Internet Cards Service, with the use of the information printed on the Podex Visa Card Gold and the code referred to in section 3.

 

III. Use of the Podex Visa Card Gold

 

§ 8

The Podex Visa Card Gold may be used in Poland and abroad, at locations bearing the logo of the Payment Organisation shown on the Podex Visa Card Gold, unless the CardMailer stated otherwise.

§ 9

1. The Podex Visa Card Gold may be used for:

1/  payments for goods and services at Merchant outlets (including Contactless Transactions and Partial Transactions), and at ATMs,

2/   cash withdrawals from ATMs and at branches of other banks, as well as other outlets offering such services,

3/ payments for goods or services ordered or provided by mail, telephone, fax and the Internet at the Merchants, without the need for physical presentation of the Podex Visa Card Gold,

4/  and for other activities specified at the Website of the BRE Bank Group.

2.The  Transactions,  referred  to  in  section  1.1,  may  specifically be  performed  with  the  use  of  POS terminals and ATMs, marked as specified in § 8.

3. The Contactless Transactions, referred to in section 1.1, may be made under the following conditions:

1/  the Bank provided such functionality on the Podex Visa Card Gold, of which it informed in the CardMailer,

2/  the Merchant has a POS Terminal with contactless reader, marked with the acceptance logo of the offered service,

3/  the Transaction was Authorised by the Cardholder, under rules referred to in § 10 section 1.1 or section 2, if the contactless Transaction exceeds the amount specified by the Payment Organisation, which is provided at the Website of the BRE Bank Group.

4. Regardless of the amount of the Contactless Transaction, the Bank reserves the right to require the Cardholder to confirm such transaction with the PIN number or his/her signature on the transaction slip. 5. In order to activate the contactless functionality of the Podex Visa Card Gold, the Cardholder may be required, before the first contactless transaction, to perform the Transaction referred to in section 1.1 or 1.2, confirmed with the  PIN  Code.  The  Cardholder  shall  be  notified  of  the  need  to  perform  such  transaction  in  the CardMailer.

6. Partial Transactions, referred to in section 1.1, may be made under the following conditions:

1/  the Bank provided such functionality on the Podex Visa Card Gold, of which it informed in the CardMailer or at the Website of the BRE Bank Group,

2/  the Merchant offers such service.

7. Transactions referred to in section 1.3 may be executed as remote transactions with Merchants marked with the logo of the Payment Organisation which accepts the Cards, specifically at their websites. 8. In the event that the Podex Visa Card Gold number is disclosed in order to execute a remote Transaction, the Podex Visa Card Gold Account may be charged without the requirement for the PIN Code or the Cardholder’s signature.

§ 10

1.The Cardholder authorises the Transaction by:

1/  entering the PIN code,

2/  signing the Transaction slip,

3/  putting  the  Podex Visa Card Gold  in  the  proximity of  the  contactless  reader,  for  contactless  transactions,  if  the Merchant  does  not  require  any  Transaction  confirmation  by  entering  the  PIN  or  signing  the Transaction slip by the Cardholder.

4/  stating  the  unique  data  printed  on  the  Podex Visa Card Gold  and  the  Cardholder’s  data,  in  the  case  of  remote Transactions,

5/  physical presentation of the card or placing it in the terminal used to execute the Transaction, if the Payment Organisation does not require transaction confirmation by a signature of the Cardholder or by entering the PIN code.

2.  For recurring transactions (e.g. subscriptions, membership fees etc.), if the Cardholder authorises the first  transaction  as  set  out  in  section 1,  it  shall  be  tantamount  to  his/her  consent  to  subsequent Transactions, to the extent agreed with the Merchant.

§ 11

After the Cardholder authorises the Transaction pursuant to  §  10, the Transaction may not be revoked, provided however that the Cardholder shall be entitled to cancel his/her consent to execute subsequent Transactions, referred to in §10.2, pursuant to the rules accepted by the Merchant.

§ 12

1.  The moment when the Bank receives the order to execute the Transaction is defined as the delivery to the Bank by the Payment Organisation of the settlement report, containing information on the performed Transaction.

2.  If information on the Transaction is received in the settlement report from the Payment Organisation, the Podex Visa Card Gold  Account  shall  be  charged  with  the  Transaction  amount  together  with  all  commission  due immediately, but not later than within 3 Business Days from the date of receipt of the said report.

§ 13

The maximum value of the electronic money stored on the Podex Visa Card Gold may not exceed the equivalent of EUR 1 000.00 in the Podex Visa Card Gold Account Currency.

§ 14

1.   The Cardholder is authorised to execute Transactions with the Podex Visa Card Gold until the end of the Podex Visa Card Gold validity period and up to the current Available Funds Balance.

2.   The Podex Visa Card Gold may be used subject to provisions of section 1 within the limits specified below (the limit is the sum of the Transaction amount and the potential commission):

§ 15

1.  Podex Visa Card Gold Top-Up may be made as a bank transfer or cash deposit into the Podex Visa Card Gold Account, at a bank or at other entities authorised to provide such services, including a post office.

2. The Bank, accepting the Podex Visa Card Gold Top-Up in a currency other than the Podex Visa Card Gold Account Currency, shall convert the value of Top-Up at the sell rate of the Podex Visa Card Gold Account Currency published in the Exchange Rate Table of BRE Bank, valid as at the time of Podex Visa Card Gold Top-Up.

3.The funds shall be made available in the Podex Visa Card Gold Account not later than on the business day following the posting of these funds by the Bank.

4.In the case of a Podex Visa Card Gold Top-Up exceeding the maximum allowable value of electronic money stored on the Podex Visa Card Gold, indicated in § 13 (“Excess Payment”), the Cardholder is entitled to claim return of the Excess Payment, and the Bank shall be entitled to reject such Excess Payment.

5.The Excess Payment does not bear interest.

6.The  value  of  electronic  money stored  on  the  Podex Visa Card Gold  is  topped  up  by the  value  of  the  most  recent Transaction, reducing the amount of the potential Excess Payment, subject to provision of section 7.

7.In the case of a claim for return of Excess Payment  (if any), provisions of  §§  28-30 shall apply accordingly.

§ 16

1. Transactions shall be executed in the currency of the country in which they are made, unless relevant regulations of Payment Organisations allow for transaction in a different currency. 2. If a Merchant allows for Transactions in a different currency than the currency of the country in which the Transaction is executed, the Cardholder, authorising the Transaction, accepts the application of the Merchant’s currency exchange rate or an additional fee.

3. In the case of Transactions executed in a currency other than the Podex Visa Card Gold Account Currency, the Bank approves the execution of Transaction if the Available Funds Balance:

1/  amounts to at least 103% of the Transaction value, after its conversion to the Podex Visa Card Gold Account Currency at that currency’s sell rate published in the Exchange Rate Table of BRE Bank, valid as at the time of the Transaction, and

2/  is sufficient to cover the potential commissions tied to the execution of the Transaction by the Bank. 4. Until the time of settlement of the Transaction executed in a currency other than the Podex Visa Card Gold Account Currency by the Payment Organisation, the Bank shall block funds on the Podex Visa Card Gold in an amount equal to 103% of the value of the Transaction in question and the commission due to the Bank, thus reducing the Available Funds Balance by that amount.

5. The Payment Organisation converts the amounts of Transactions executed in a currency other than the Podex Visa Card Gold Account Currency into the Podex Visa Card Gold’s settlement currency at the exchange rate applied by the Payment Organisation, applying also the Bank’s currency conversion commission indicated in the Appendix to the Terms and Conditions, “Commissions and fees tied to the use of Foreign Currency Prepaid Bearer Podex Visa Card Gold, issued by BRE Bank SA as an electronic money instrument”.

§ 17

During the execution of Transaction, the Cardholder may be requested to present a document confirming his/her identity. The Merchant may refuse acceptance of Podex Visa Card Gold payment in the case of lack of Cardholder signature on the Podex Visa Card Gold or refusal to present the identity document.

§ 18

1.  The Cardholder may request the Bank, under the procedure provided for complaints, for the refund of the amount of an authorised Transaction initiated by or via the Merchant, which had already been executed, within eight weeks calculated from the date the Podex Visa Card Gold Account was charged, if the following conditions have been met:

1/  the exact Transaction amount was not defined at the time of Transaction Authorisation by the Cardholder, and

2/  the Transaction amount is higher than charged in the given circumstances and that the Cardholder could have reasonably expected, taking into account the earlier type and level of the Cardholder's expenses, provisions of the Agreement and of the Terms and Conditions and other circumstances relevant for the case, and

3/  The Transaction was made in euro, in Polish zloty or in the currency of another Member State of the European Union.

2.In the case referred to in section 1.2, the Cardholder may not quote reasons tied to currency conversion, if the conversion was performed according to exchange rates referred to in § 16 section 2 or section 5.

3.Upon the demand of the Bank, the Cardholder shall be obliged to present facts which prove that conditions  referred  to  in  section1  actually  occurred,  in  particular,  documents  confirming  the Transaction.

4.The manner in which the Bank examines the request for refund is set forth in § 31 and § 33, subject to provisions of section 5.

5. The Bank shall refund the full Transaction amount or shall deliver a refusal of refund together with justification and shall indicate the authorities to which the Cardholder could appeal on this matter, within 10 business days from the date the Bank received the request for refund referred to in section 1.

§ 19

1. The Cardholder may obtain information on the Available Funds Balance, Transaction history and Podex Visa Card Gold status by calling the 24-Hour Service Centre or via the Internet Cards Service.

2. Additionally, the Cardholder may check the Available Funds Balance:

1/ at ATMs, provided that the given ATM enables such service,

2/ at Merchants offering such service – in the form of printout of the Available Funds Balance on the Transaction slip  (provided that the Bank enables such functionality, of which it informs in the CardMailer or at the Website of the BRE Bank Group).

§ 20

The Bank may refuse to execute a Transaction in the following cases:

1/  the Cardholder has provided incorrect data during Transaction Authorisation, including an incorrect Podex Visa Card Gold number, valid-through date, PIN code, CVV2 code, or the signature on the Transaction slip not matching the specimen signature on the Podex Visa Card Gold,

2/  the Cardholder uses an inactive, blocked, frozen or invalid card,

3/  lack of Available Funds Balance in an amount that would cover the Transaction amount and the potential fees or commissions tied to the Transaction,

4/  exceeding the authorisation limits (quantity or value) defined on the Podex Visa Card Gold,

5/  the Bank believes such refusal is justified due to security considerations, especially the need to protect against fraud,

6/  the Cardholder refused to present an identity document upon the Merchant’s request.

§ 21

The Bank shall notify of refusal to execute a Transaction by displaying or passing the message through the Merchant or the device used to execute the Transaction, unless such information cannot be provided due to any reasons beyond the Bank’s control.

 

IV. Obligations of the Cardholder

 

§ 22

1. The Cardholder should pass the Podex Visa Card Gold to the subsequent Cardholder together with the CardMailer, the PIN Code and the Terms and Conditions, or alternatively inform the subsequent Cardholder of the Internet address at which the current text of the Terms and Conditions can be found: www.brebank.pl. 

2. The Cardholder shall be obliged to:

1/  adhere to these Terms  and Conditions, generally applicable laws and  regulations and the local regulations relating to ATM usage,

2/  store the Podex Visa Card Gold and protect the PIN code with due care,

3/  store the CardMailer in a safe location with due care,

4/  protect the Podex Visa Card Gold from loss, theft and destruction,

5/  refrain from storing the Podex Visa Card Gold together with the PIN code,

6/  use any other means necessary to prevent the breach of the Podex Visa Card Gold’s individual security measures, specifically, not to make the Podex Visa Card Gold or the PIN available to any unauthorised persons,

7/  immediately freeze the Podex Visa Card Gold in cases referred to in § 24,

8/  use the Podex Visa Card Gold in line with its intended purpose,

9/  use the Podex Visa Card Gold exclusively during its validity period,

10/ keep the transaction slips for the period necessary to examine potential complaints of the Cardholder, and  other  documents  connected  with  Transactions  and  to  make  them available  to  the  Bank  to document complaints, if any,

11/ report all discrepancies in the history of transactions displayed on the Internet Cards Service,

12/ not to disclose the Podex Visa Card Gold number, expiry date and CVV2 code to any third party for any other purposes than concluding a transaction and Freezing the Podex Visa Card Gold,

13/ cancel any reservation made with the Podex Visa Card Gold prior to termination or expiration of the Agreement,

14/ cancel the consent (in case of card cancellation, blocking or freezing, or termination or expiration of the Agreement) given to a Merchant to initiate recurring Transactions (e.g. subscription, membership fees) made on the basis of Podex Visa Card Gold data provided by the Cardholder.

§ 23

1.  The Cardholder shall be obliged to check the correctness of Transaction details, including its amount, before authorising it.

2.  Each Transaction shall be confirmed with a Transaction slip, issued by the Merchant accepting the payment made with the Podex Visa Card Gold.

3.  If the Cardholder questions a Transaction made with the use of the PIN code, the Bank shall be entitled to Freeze the Podex Visa Card Gold in the case of suspicion that an unauthorised third party gained access to the PIN code.

 

V. Procedure in the case of loss or damage of the Podex Visa Card Gold

 

§ 24

1.The Cardholder shall be obliged to freeze the Podex Visa Card Gold immediately upon discovering:

1/  destruction of the Podex Visa Card Gold,

2/  loss of the Podex Visa Card Gold,

3/  theft of the Podex Visa Card Gold,

4/  revealing the Podex Visa Card Gold data or the PIN code to an unauthorised person,

5/  unauthorised use of the Podex Visa Card Gold,

6/  appropriation of the Podex Visa Card Gold,

7/  unauthorised access to the Podex Visa Card Gold,

8/  the Podex Visa Card Gold’s seizure by an ATM.

2. The  Podex Visa Card Gold  Freeze  notification,  referred  to  in  section  1,  shall  be  made  by the  Cardholder  over  the telephone, via the  24-Hour Service Centre whose number is provided on the CardMailer and at the Internet Cards Service.

3. The 24-Hour Service Centre receives the notifications referred to in section 11 from Cardholders round the clock, 7 days a week. The Bank confirms the reception of the Podex Visa Card Gold Freeze notification by stating the date and precise time of notification receipt.

4.The Cardholder shall be obliged to state the Podex Visa Card Gold’s number in order to freeze it.

5.Telephone conversations regarding notifications referred to in section 11, may be registered to document

the exact date and time of notification receipt.

6.Freeze of the Podex Visa Card Gold is tantamount to submission of the demand for Buy-Out of Electronic Money.

7.After the Freeze of the Podex Visa Card Gold any Transactions and Top-Ups are not possible.

8.If the frozen Podex Visa Card Gold is recovered, it should be immediately destroyed, so that further use and the reading of data recorded on it are impossible.

 

VI. Cardholder’s Liability

 

§ 25

1.  The Cardholder shall be fully liable for:

1/  any Transactions authorised pursuant to these Terms and Conditions, 2/  any consequences of use of the Podex Visa Card Gold, and specifically in the case of:

a)  use of the Podex Visa Card Gold in a manner contrary to the Terms and Conditions, provisions of generally applicable laws and regulations and the local regulations regarding the use of ATMs,

b)  failure to immediately Freeze the Podex Visa Card Gold at the Bank, pursuant to these Terms and Conditions,

c)  remote transactions, i.e. transactions concluded without physical presentation of the Podex Visa Card Gold.

2.  The Cardholder shall be liable for any recurring Transactions, referred to in § 10.2, if the consent for their execution by the Merchant has not been withdrawn despite the Freeze of the Podex Visa Card Gold.

§ 26

1.  The Cardholder shall be liable for unauthorised Transactions made with the Podex Visa Card Gold, until its loss is reported pursuant to § 24, up to the Polish zloty equivalent of EUR 150.00, converted on the basis of the average rate published by the NBP as applicable on the date of the transaction, if it results from: 1/  the use of a lost or stolen Podex Visa Card Gold,

§ 29

1.   The Cardholder may submit the demand for Buy-Out of Electronic Money by telephone via the 24-Hour Service Centre by stating the data printed on the Podex Visa Card Gold, that is, the Podex Visa Card Gold number, the valid-through date, the CVC2/CVV code and:

1/   the Authentication code if the Podex Visa Card Gold was registered with the Internet Cards Service,

2/   the Podex Visa Card Gold Account number printed on the CardMailer if the Podex Visa Card Gold was not registered with the Internet Cards Service.

2.   If the demand for Buy-Out of Electronic Money is submitted via the  24-Hour Service Centre, the Cardholder indicates one of the possible ways for refund, referred to in § 28 section 5.1 and 5.2.

3.   If the Cardholder opts for refund of funds in the manner referred to in § 28 section 5.2 and indicates the address to which the postal money order is to be sent, the Bank, upon receipt of the demand for Buy-Out of Electronic Money:

1/   shall reduce the Available Funds Balance by the costs tied to the Buy-Out of Electronic Money by postal money order, referred to in § 28 section 3,

2/   shall undertake two attempts to deliver the postal money order to the address indicated by the Cardholder.

§ 30

The Cardholder who submits the demand for Buy-Out of Electronic Money shall receive from the Bank the return of funds due to the Cardholder, calculated pursuant to § 28 section 7 or section 8: 1/ within  30 Business Days from the receipt of demand, if the Cardholder defined the Account for refunds,

2/   within 40 Business Days from the receipt of demand, if the Cardholder defined the address for refunds in the form of postal money order.

 

VIII. Complaints

 

§ 31

1.   If the Cardholder discovers an unjustified charge on the Podex Visa Card Gold, especially tied to incorrect calculation of fees or commissions, or to charging the Podex Visa Card Gold with the amount of a Transaction that is unauthorised, was executed incorrectly or executed after the Freeze of the Podex Visa Card Gold, the Cardholder shall be obliged to inform the Bank immediately of that fact by filing a complaint.

2.   The Cardholder should file the complaints to the 24-Hour Service Centre.

3. In the case of a complaint filed to the Bank, the Bank may request the provision of information specifying the reason for complaint and the delivery of supporting documentation tied to the executed transaction and justifying the complaint (including copies of Transaction slips and ATM slips).

4.   The Bank may demand the presentation of additional Transaction documents, necessary to clarify the submitted complaint.

5.   The Cardholder agrees to telephone contacts initiated by the Bank, meant to establish the necessary details of the complaint.

6.   Failure to present the documents required by the Bank or to provide the information required by the Bank within the time specified by the Bank shall be tantamount with the Cardholder accepting the Transaction being the subject of the complaint.

7. The Bank increases the Available Funds Balance, which had been reduced by the amount of the Transaction being the subject of complaint, or the questioned amount of fee or commission, only if it acknowledges the reported complaint.

8. If the complaint concerns a frozen Podex Visa Card Gold, the Bank shall credit the amount of acknowledged complaint to the bank account indicated by the Cardholder during the complaint examination process.

§ 32

1. The Cardholder submits to the Bank Outlet written complaints regarding the Podex Visa Card Gold, tied to: 1/  damage of the envelope containing the Podex Visa Card Gold or the PIN code,

2/  mechanical damage of the Podex Visa Card Gold which occurred before the Podex Visa Card Gold was delivered to the Cardholder,

3/  errors in data printed on the Podex Visa Card Gold,

4/  lack of possibility to perform Transactions with the Podex Visa Card Gold.

2. In the case of a complaint regarding the Podex Visa Card Gold, the Bank may request the delivery of all documents tied to the questioned transaction and justifying the complaint (such as copies of Transaction slips and ATM slips), including the Podex Visa Card Gold being the subject of complaint.

3. If the Bank establishes justification for the received complaint, the Cardholder shall be entitled to refund of the fee charged by the Bank for issue of the Podex Visa Card Gold, provided that no Transaction was made with the Podex Visa Card Gold and that the Podex Visa Card Gold was frozen by the Cardholder.

§ 33

1. The Cardholder is entitled to file the complaint with the Bank within 14 days from the date the Bank published the Transaction history at the Internet Cards Service, subject to provisions of section 3 and 5.

2. The Cardholder is entitled to file a complaint with the Bank with relation to establishing unauthorised, non-executed or incorrectly executed Transactions within 13 months from the date the Podex Visa Card Gold Account was charged, or the day on which the Transaction was supposed to be performed.

3. If the complaint referred to in section 2 is not reported within 13 months from the date the Podex Visa Card Gold Account was charged, or the day on which the Transaction was supposed to be performed, any claims of the Cardholder tied to unauthorised, non-executed or incorrectly executed Transactions shall expire.

4. The Cardholder is entitled to file the complaint regarding the Podex Visa Card Gold to the Bank in the cases referred to in § 32 within 90 days from the date of Podex Visa Card Gold issue.

5. The Bank shall notify the Cardholder of the date and procedure for complaint examination when the complaint process begins. The Bank undertakes to forthwith investigate the complaint filed by the Cardholder, not later than within 14 days from the date of submitting the complaint, and if the complaint refers to information about Transactions involving the Merchant or the Payment Organisation – not later than within 5 business days from the date of receipt of response from the Merchant or the Payment Organisation. In the case of justified need to prolong this deadline, resulting from regulations of the given Payment Organisation and the nature of the complaint, the Cardholder shall be immediately notified  of  that  fact.  The  complaints  are  investigated  in  line  with  the  procedures  of  the  Payment Organisation, which are identical for all banks – members of the payment system of the given Payment Organisation.

§ 34 

If  the  complaint  is  not  acknowledged or is examined contrary to the demand of the Cardholder, the Cardholder may request the Bank for a re-examination of the complaint, within 14 days from the date of receipt of the response to his/her complaint.

 

IX. Fees and Commissions

 

§ 35

1. The commissions and fees due to the Bank with relation to use of the Podex Visa Card Gold are specified in the Appendix to the Terms and Conditions, “Commissions and fees tied to the use of Foreign Currency Prepaid Bearer Podex Visa Card Gold, issued by BRE Bank SA as an electronic money instrument”, which is published at the Website of the BRE Bank Group, in the tab “Information for Clients”.

2.The Bank reserves the right to change the types and rates of commissions and fees tied to use of the Podex Visa Card Gold, subject to provisions of section 3.

3. The amount of commissions and fees depends on the level of Podex Visa Card Gold handling costs incurred by the Bank, including the market parameters that affect the costs, such as: the inflation rate, the reference lending rates set by the NBP. A change in the level of commissions and fees may occur if these parameters change.

4. The fee for the issue of the Podex Visa Card Gold is paid by the Cardholder at the time of Podex Visa Card Gold purchase.

5. The commissions and fees tied to use of the Podex Visa Card Gold are paid by the Cardholder. The commissions and fees tied to use of the Podex Visa Card Gold are charged by the Bank from the Podex Visa Card Gold Account. The Cardholder authorises the Bank to charge the Podex Visa Card Gold Account with the amount of commissions and fees due to the Bank, tied to the use of the Podex Visa Card Gold.

6. The commissions and fees tied to use of the Podex Visa Card Gold are charged simultaneously with charging the Podex Visa Card Gold Account with the Transaction amount. If the commission or fee is not charged at the same time as the Transaction, due to lack of funds on the Podex Visa Card Gold or due to other circumstances, the Bank may charge the commission or fee at a later date, using the funds with which the Podex Visa Card Gold is topped up.

 

X. Final Provisions

§ 36

Under the Agreement, the Bank does not issue:

1/  duplicate Podex Visa Card Gold,

2/  a replacement Podex Visa Card Gold for a lost or frozen Podex Visa Card Gold,

3/  a new PIN code.

2.  In the event of, specifically, loss of the Podex Visa Card Gold, theft of the Podex Visa Card Gold, the Podex Visa Card Gold's seizure by an ATM, revealing the Podex Visa Card Gold data to an unauthorised person, damage of the Podex Visa Card Gold occurring during its use, or the inability to restore the PIN code, the Bank may issue a new Podex Visa Card Gold at the request of the Cardholder. In order to receive a new Podex Visa Card Gold, a new agreement must be concluded.

3. Podex LLC  is only the Podex Visa Card Gold reseller and not a party in disputes regarding the Podex Visa Card Gold, including card blockade or freezing.

§ 37

The Bank shall be liable pursuant to the generally applicable laws and regulations for the non-performance or improper performance of the Agreement.

§ 38

1.   The Bank, subject to conditions provided for in these Terms and Conditions, shall be entitled to amend these  Terms  and  Conditions  for  important  reasons,  which  shall  also  include  amendments  to  the Appendix to the Terms and Conditions, “Commissions and fees tied to the use of Foreign Currency Prepaid Bearer Podex Visa Card Gold, issued by BRE Bank SA as an electronic money instrument”. 

2. Important  reasons,  justifying  amendments  to  these  Terms  and  Conditions,  are  deemed  to  include amendments to existing or introduction of new laws and regulations; change of the interpretation of existing laws and regulations due to court verdicts, decisions, recommendations or guidelines of the relevant public authorities including the National Bank of Poland, the Polish Financial Supervision Authority;  change  of  services  offered  with  relation  to  technological  developments  and  market conditions; changes tied to the IT system of the Bank; change of the Bank’s offer; changes in the functionalities of services provided by the Bank.

3. Important reasons, justifying amendments to the Appendix to the Terms and Conditions, referred to in section 1, are indicated in § 35 section 3.

4. In the case of circumstances resulting in the need to amend these Terms and Conditions or the Appendix referred to in section 1, the Bank shall inform the Cardholder of that fact by placing the relevant notice of amendment at the Website of the BRE Bank Group in the tab “Information for Clients” and shall specify the publication date of such amendment.

5. The new text of the Terms and Conditions or the Appendix referred to in section  1, or the notice informing of the amendments to the Terms and Conditions or the Appendix referred to in section 1, are placed by the Bank at the Website of the BRE Bank Group together with the effective date of these changes.

6. If the Cardholder does not accept the changes, he/she may terminate the Agreement with immediate effect by Freezing the Podex Visa Card Gold, which is tantamount to submission of the demand for Buy-Out of Electronic Money.

§ 39

The Bank may Block or Freeze the Podex Visa Card Gold for justified reasons, related to:1/  card safety,

2/  suspicion of unauthorised use of the Podex Visa Card Gold or a wilful action leading to any Transactions that were not Authorised by the Cardholder in the manner referred to in § 10.

2.  The Bank shall inform the Cardholder of its intention to block or freeze the Podex Visa Card Gold, unless contact with the Cardholder is not possible or the provision of information on the Podex Visa Card Gold block or Freeze would be unjustified for safety reasons, or forbidden under separate provisions of the law.

3.  If the card is blocked, the Bank shall withdraw the Podex Visa Card Gold Block if the reasons listed in section 1 cease to exist.

§ 40

The Bank shall be entitled to Freeze the Podex Visa Card Gold and terminate the Agreement with immediate effect in the case of the following important reasons:

1/   breach of provisions of these Terms and Conditions by the Cardholder,

2/   breach  of  the  generally  applicable  laws  and  regulations  or  principles  of  community  life  by  the Cardholder with relation to use of the Podex Visa Card Gold,

3/   suspicion that an offense has been committed by the Cardholder with relation to use of the Podex Visa Card Gold, including using the Podex Visa Card Gold Account for unlawful purposes

4/   suspicion that an offense has been committed by third parties with relation to the Podex Visa Card Gold.

§ 41

If the card is Frozen by the Bank for reasons specified in § 39-40:

1/ the Cardholder shall be obliged to destroy the Podex Visa Card Gold pursuant to § 24 section 8. The Cardholder shall be liable for the consequences of non-performance of this obligation.

2/ The Bank shall be entitled not to issue any subsequent cards to the Cardholder.

§ 42

1. The Agreement is concluded until the end of the Podex Visa Card Gold’s validity period, subject to the reservation that in the case of submission of the demand for Buy-Out of Electronic Money, or the occurrence of an event tantamount to submission of the demand for Buy-Out of Electronic Money, the Agreement shall be terminated at the moment of refund of the electronic money in the manner provided for under these Terms and Conditions.

2. The Cardholder may terminate the Agreement with immediate effect by Freezing the Podex Visa Card Gold, which is tantamount to submission of the demand for Buy-Out of Electronic Money and refund of the Excess Payment on the Podex Visa Card Gold.

§ 43

1. Pursuant to the Act of 14 December 1994 on the Bank Guarantee Fund (i.e. Journal of Laws of 2009, no. 84, item 711, as amended), the funds kept in accounts used to top-up the Cards are not subject to the guarantee of the Bank Guarantee Fund.

2. The funds kept in the Podex Visa Card Gold Account do not bear interest and are not subject to valuation.

§ 44

1. The Podex Visa Card Gold’s issuer is BRE Bank SA with its registered seat in at ul. Senatorska 18, 00-950 Warsaw, entered into the register of entrepreneurs of the National Court Register by the District Court for the Capital City of Warsaw, 12th Commercial Division of the National Court Register, under number KRS 0000025237, holder of Tax Identification Number NIP 526-021-50-88. The Cardholder may send all correspondence to the Bank’s address indicated at the Website of the BRE Bank Group.

2. The distributor of the Podex Visa Card Gold is Podex L.L.C. 3422 Old Capitol Trail, Ste. 1691, Wilmington, DE 19808-6192, USA. 3. List of all the outlets of the Bank is provided at the Website of the BRE Bank Group. 4. The Polish Financial Supervision Authority supervises the operations of the Bank. The Cardholder shall be entitled to file a complaint to the Polish Financial Supervision Authority regarding any unlawful activity of the Bank.

§ 45

Upon the Cardholder’s request, the Bank shall deliver these Terms and Conditions to the Cardholder in paper form, or at the Cardholder’s consent in electronic form, by delivering the contents of the Terms and Conditions by electronic mail to an e-mail address indicated by the Cardholder.

§ 46

1.  Provisions of these Terms and Conditions do not limit the Cardholder’s rights to pursue claims against the Bank on the basis of generally applicable laws and regulations.

2.  In the event of a dispute between the Cardholder and the Bank, the Parties shall attempt to settle it in an amicable manner.

3.  The Cardholder has the possibility of requesting the assistance of:

1/  consumer organisations (City or District Ombudsman for the Consumers),

2/  the Banking Ombudsman at the Polish Bank Association, provided that the value of the object of dispute does not exceed PLN 8 000.00.

4.All disputes resulting from the performance of the Agreement and not settled by amicably by the parties thereto or by force of decision of the Banking Ombudsman shall be settled by a competent common court.

§ 47

1. The Bank, as the personal data controller within the meaning of the Personal Data Protection Act of 29 August 1997, shall process the personal data of Cardholders in the scope and for the purpose necessary to issue and handle the Podex Visa Card Gold, provided that the Cardholder provides his/her personal data to the Bank. 2. BRE Bank SA informs that:

1/  pursuant to Article 105 of the Banking Law it may provide information relating to Cardholders and Transactions to law enforcement authorities or the Payment Organisation in the case of a suspicion that an offence has been committed to the detriment of the Cardholder or the Bank;

2/  the Cardholder shall be entitled to:

a/  access and correct the contents of his/her data,

b/  object to the processing of his/her personal data for the purposes of promotion and marketing of the Bank's own banking services and products.

§ 48

Matters not regulated by these Terms and Conditions and by the Agreement shall be governed by generally applicable provisions of the Polish law, including in particular provisions of the Civil Code, the Banking Law and the Payment Services Act.


Terms and Conditions of Podex Visa Card Silver,

issued by Bank Zachodni WBK

and distributred by Podex L.L.C

as an electronic money instrument

1. The issuer of this card (further referred to as “the Card’) is Bank Zachodni WBK S.A.Rynek 9/11, 50-950 Wrocław.

2. The distributor of the Card is Podex L.L.C. 3422 Old Capitol Trail, Ste. 1691, Wilmington, DE 19808-6192, USA.

3. This card is an instrument of electronic money in the meaning of the Act on 12 September 2002 on electronic instruments payments (Dz.U.02.169.1385 with later amended).

4. The maximum amount of funds stored on the account of the Cards cannot exceed in any calendar year the equivalent of EUR 2 500, 2 100 GBP 3 500 USD, depending on the currency of the Card. The contract for electronic money instrument (the "Agreement") is valid until the expiry of the Card's validity period.

5. The Card can be acquired by a person of full or limited legal ability, legal persons and organizational units without legal personality ("Buyer").

6. Buyer is entitled to transfer the Card to a third party.

7. Along with the transfer of the Card the buyer or holder shall provide the third party a copy of these document, PIN or activation code.

8. Rightful Cardholder is the bearer who took possession of the Card in the manner permitted by these terms and by the generally applicable law. Rightful holder of the Card becomes a party to the Agreement.

9. The Card allows the Card holder to make the world non-cash transactions at points of service and commercial internet transactions and cash transactions.

10.  A single value of the cash transaction using the Card does not exceed 150 EUR, 130 GBP, 200 USD, depending on the Card currency.

11. A single value of the non cash transaction using the Card does not exceed 1000 EUR, 800 GBP, 200 USD, depending on the Card currency.

12. The Cardholder is not allowed to make quasi-cash transactions (on-line transactions in casinos and sports betting) nor transactions in the automated fuel dispensers.

13. Operations carried out using the Card are implemented in the currency of the country in which they were made.

14. Internet transactions made with merchants located outside Polish borders are treated as foreign transactions, regardless of the selected transaction.

15. If the holder / user makes a purchase of goods / services in foreign currency, and then return the goods / services, holder / user is responsible for any exchange rate differences in this respect.

16. In the case of non-cash transactions and cash transactions made in currencies other than currency the Cards and different from PLN EUR Visa currency exchange rate is applied and late Bank exchange rates from Euro to the Card currency.

17. In case of non-cash transactions and cash transaction made in PLN, PLN to the Card currency conversion is applied on Bank exchange rate.

18. If the transaction using a Visa the Card in EUR currency is being made in Euros then the Card is charged with Euros.

19. If the transaction using a Visa the Card in GBP currency is being made in Euros then the Card is charged with GBP.

20. If the transaction using a Visa the Card in USD currency is being made in Euros then the Card is charged with USD.

21. The Card can be loaded through a cash or cashless payment in any currency (at the exchange rate of BZ WBK) in any bank using the account indicated in information leaflet.

22. If payment exceeds the maximum account balance of the Card, transaction will be declined.

23. The Card can be used by the end of expiry date and / or the exhaustion of cash accumulated on the Card with the limits mentioned on the web page and in Polish version of agreement.

24. There is no possibility of issuing a duplicate the Card.

25. In case of locking the Card by incorrectly entering PIN three times it is possible to unlock the Cards at the Center for Electronic and Telephone Banking by phone: +48 161 811 9999. Unlocking the Card in the Center for Electronic and Telephone Banking requires a full the Card number or account number of the Card.

26. The holder is obliged to immediately report the loss of the Card in the Center for Electronic and Telephone Banking by phone: +48 161 811 9999.

27. Notification of losing the Card is possible providing the the Card number or account number of the Card

28. Bank shall be liable for loss of stored electronic money on the Card, or damage happened as a result of incorrect performance of the operation ordered by the holder, if the cause of loss of electronic money or improper proceeding of the operation was caused by malfunctioning of the Card. The holder must prove the occurrence of the circumstances justifying the complaint.

29. Liability of the Bank against the the Cardholder shall be limited to the value of electronic money acquired by the Holder, however, cannot be higher than the actual amount of loss incurred by the Holder in connection with the use of the Card.

30. The Bank will redeem the electronic money stored on the the Card to any request made by the current holder no later than the last day of period. The holder of the applicant request the redemption the Card is required to attend at the branch of Bank and fill application.

31. The Cardholder can obtain information about the Card, in particular the Card’s balance and transaction history the Center for Electronic and Telephone Banking  phone number +48 618119999 (paid according to the caller’s tariff)

32. Obtaining information indicated in above paragraph is possible after submitting the Card number or a full account number.

33. The Cardholder can check the balance of the Card and last 10 transaction history in the ATM BZWBK24 network.

34. Checking your balance and history of the last 5 transactions is possible by sending  properly formatted SMS message to number +48 661002425*

34. Bank charges fee for the use of the Card in the amount specified in Polish version of agreement and on the Card web page if within six months no cash or non-cash transaction were proceed or no load was done. This fee will be applied every 1st of each month for the previous month with no activity. In the absence of funds on the the Card the fee will be applied the next time the the Card is credited.

35. If the fee/commission is not charged at the moment of the transaction, the Bank has the right to charge the Card after the transaction when it is credited.

36. The Bank reserves the right to terminate the Agreement or to block the Card in the event of:

a) breaking by the Holder the rules of this Agreement

b) breaking by the Holder the laws governing the use of the Card:

c) suspicion of committing a crime by the Holder in connection with the use of the Card, particularly in the case of a suspected the Cards counterfeit or use the Card account for illegal operations.

37. The Card Holder has the right to complain in case of a malfunctioning of the Card, in particular if the operation was proceed contrary to the disposition of the Card Holder or the loss of the electronic money stored on the Card.

38. The complaint shall be accompanied by relevant documents in the form of a copy of any accounts acknowledgments generated by the ATM or other transaction-related documents and showing legitimacy of complaints, in particular:

a ) when canceling the transaction at the point of service and trade, the Cardholder is obliged to ensure that merchants accepting payment by the Card, correctly perform the operation and gave relevant evidence of repayment of the amount of the transaction;

b) in case of difficulties with payment of the Card the Holder is obliged to have document confirming the fact that the payments due has been settled in another way;

c) the Cardholder is obliged to sign a receipt confirming the transaction failed, rejected, etc.;

d) in case of complaint by proxy must enclose appropriate power of attorney.

39. The holder is obliged to notify Bank non-compliance regarding the transaction and the balance of the Card within 14 days of being informed about not correct transactions.

40. The holder may submit complaint orally in any organizational unit of the Bank, in writing to the address of the Bank or any organizational unit, by telephone or electronically. The relevant addresses, e-mails, and telephone numbers are available in the organizational units of the Bank and are indicated on the Bank's website www.bzwbk.pl. Complaints requiring submission of documents, or if such a requirement due to the generally applicable law, should be reported only in writing or in person in any unit of the Bank.

41. During the complaint process the Bank may request documents verification and written confirmation of the documents gathered during the complaint handling process.

42. The holder will receive on request confirmation of filing a complaint if the complaint was submitted personally by the Holder in any organizational unit of the Bank.

43. The complaint shall be forwarded for consideration through the organization VISA International or Masterthe Card or other holder device in which the transaction occurred. In case the above. reviewing entity confirms the validity of complaint or confirm that the claim is unjustified-Bank will inform the Holder of the result of the proceedings complaint in within 5 working days of receipt of response.

44. Answer to the complaint by the Bank can be in writing, by telephone, orally or in the electronic form.

45. Appropriate supervisory authority for the Bank's is the Financial Supervision Commission (Komisja Nadzoru Finansowego).

46. The holder may request a free legal assistance by the Municipal or District Consumer Office.

47. Disputes between the Holder and the Bank may be amicably settled by the Bank by the Bank Arbitrator by Polish Bank Association, provided that the value of the dispute was not higher than 8000 PLN.

48. Podex Exchange is only the Card reseller in the meaning given in (6) of this Abstract and not a party in disputes regarding the Card, including Card blockade or freezing. 

49. According to the Act of Bank Guarantee Fund [BFG] (Act of 16 July 2009) funds stored on the accounts of the facilities for supply of prepaid the Cards (prepaid) shall not be secured by BFG warranty.

50. Fees and commissions charged by the Bank for the use of the Card are mentioned on the Card web page and in the full Polish version of the agreement.

51. The only binding legal form of agreement between the Cardholder and the Bank is Polish version published at the Bank's website at http://prepaid.bzwbk.pl/kartywalutowe/regulamin.html .

52. The buyer and the holder is obliged not to forward the Card to the following countries: Libya, Somalia,, China, Vietnam, Pakistan, Afghanistan, Azerbaijan, Kazakhstan, Peru, Panama, Argentina, Bolivia, Colombia, Turkey, Serbia, Kosovo, Ukraine, Moldova, Bosnia and Herzegovina, Uzbekistan, Turkmenistan, Iran, Sudan, North Korea, Burma, Cuba, Syria.

53. Current tariff of fees and commissions charged by the Bank for the use of the Cards are mentioned in full Polish version of agreement and on the Card webpage, in each Bank office and the Bank's website at http://indywidualni.bzwbk.pl/przewodniki/toip/taryfa-oplat-i-prowizjiprzewodnik.html.

54. In all matters not regulated by these Rules generally applicable rules of Polish law apply.
